In this agreement and throughout the terms "City Slicker Sticker, LLC", "City Slicker Sticker", and "CSS" are used interchangeably. All three names refer to the same organization, "City Slicker Sticker, LLC".
CSS reserves the right to license, sell, or otherwise distribute its products in any manner it sees fit. Express written consent must be obtained in writing from an approved CSS officer to utilize any of its products or proprietary assets, whether partially, fully, or otherwise implied.
Violations of this express agreement are subject to prosecution up to the full extent of the law. Violations of these agreements may result in civil and/or criminal liability.
CSS is not liable and will not be held accountable for any consequences, damages, or any other outcome, whether express or implied, resulting from the use of its products. CSS shall not be held responsible for any form of usage of its products, including but not limited to normal use, misuse, misconduct, mischief, or illegal activities. Upon receiving their sticker(s), customers acknowledge that CSS is not responsible for any consequences whether partial, full, or implied that arise from normal use, misuse, misconduct, mischief, illegal activity, or any other intentional or unintentional outcomes resulting from the use of its products. These potential outcomes include but are not limited to, financial losses, injury, death, or any other intentional, unintentional, or unpredictable events.
Certain content and services available via the CSS website may include materials from third-parties. CSS may provide links to third-party websites as a convenience to you. You agree that CSS is not responsible for examining or evaluating the content or accuracy of such content. CSS does not warrant, and will not have any liability or responsibility for any third-party materials or website, or for any other materials, products, or services of the third-party. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that CSS is not in any way responsible for any such use by you or any parties directly or indirectly affiliated with you.
You acknowledge that the CSS brand encompasses all its products and intellectual property. This includes, but is not limited to, all past, present, and future CSS products and intellectual properties. Any product or intellectual property developed by or for CSS, whether fully, partially, or otherwise, is also considered part of the CSS brand. The CSS website provides certain proprietary information and material that is owned by CSS and/or its business associates and is protected by applicable intellectual property and other laws, including but not limited to copyright. You agree not to use such information or materials in any way whatsoever except for the private use deemed to be lawful as it pertains to but not limited to, any governing laws.
Notwithstanding any other provision of this agreement, CSS and its licensors reserve the right to change, suspend, remove, or disable access to any of the CSS products, content, or other material comprising part of the CSS product portfolio. In no event will CSS be liable for such changes, and may do so without notice of liability. All intellectual property associated with CSS, including but not limited to trademarks, service marks, graphics, and logos, may not be used by any outside party without CSS's explicit written consent.
Violations of this express agreement are subject to prosecution up to the full extent of the law. Offending parties may be subject to penalties as determined by all applicable laws governing any breach of this agreement and may include civil, criminal, and prosecution. CSS will pursue any such breach to the fullest extent permitted by law, including pursuing monetary compensation to the fullest extent of the law.
In no case shall CSS, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising from your (any customer of CSS) use of any of the CSS portfolio of products or for any other claim related in any way to your use of the CSS website, portfolio of products, including but not limited to, any loss or damage of any kind incurred as a result of fully, partially or otherwise implied use of any content or product. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, CSS's liabilities shall be limited to the extent permitted by law.
CSS shall use reasonable efforts to protect information submitted by you in connection with its portfolio of products. Still, you agree that your submission of information is at your sole risk, and CSS hereby disclaims any and all liability to you for any loss or liability relating to such information in any way.
CSS does not represent or guarantee that the CSS website will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and CSS disclaims any liability relating hereto.
By clicking the box titled "I have read and agree to the website Terms and Conditions" found on the Shipping page of the website, you acknowledge that the colors chosen on your device (computer, phone, etc.) may look different from your printed sticker. This is because device screens render colors using RGB coloring and printing renders colors using CMYK coloring. In addition, color calibration for device screens depends on numerous factors, including but not limited to; manufacturer color settings, settings adjustable through the user interface, age of the device, size of the device, and use of a screen protector. Because of this, device screens may not represent colors correctly. Furthermore, RGB screen color combinations can produce over 16.5 million colors, while CMYK print color combinations produce just over 16,000 colors. Because there isn't a 1:1 conversion ratio between RGB device colors and CMYK print colors, this may also contribute to differences between colors rendered on a screen and printed colors. You can see the Hex color codes as you make your color choices on our website. If you're unsure about your selections, please consult a physical color matching guide, such as a Pantone color guide. Each of the over 16.5 million Hex color codes has its own specific color. We provide the specific Hex color codes chosen by the customer to a professional printer. Before printing each sticker, the printer uses professional color conversion tools to convert Hex color codes to CMYK color codes.

By using the CSS website, you agree, to the extent permitted by law, to indemnify and hold CSS, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of your breach of this agreement, or any action taken by CSS as part of its investigation of a suspected violation of this agreement or as a result of its findings or decision that a violation of this agreement has occurred. This means that you can not sue or recover any damages from CSS, its directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to refuse to process any information or content as it pertains to any CSS product; and precludes you from taking any other action against CSS during the investigation of a suspected violation or as a result of CSS's conclusion that a violation of this agreement has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by this agreement.
This agreement constitutes the entire agreement between you and CSS and governs your use of the CSS website and any other dealings fully, partially, or otherwise implied with CSS, superseding any prior agreements between you and CSS. You may also be subject to additional terms and conditions that may apply when using the services of affiliated companies, third-party content, or any other third-party dealings and their subsequent terms and conditions. If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intent of the parties involved. The remaining portions shall remain in full force and effect. CSS's failure to enforce any right or provision in this Agreement will not constitute a waiver of such or any other provision. CSS will not be responsible for failures to fulfill any obligations due to causes beyond its control.
CSS is operated by City Slicker Sticker, LLC from its offices in the state of Kansas. You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of any CSS product. This encompasses but is not limited to, any product currently produced by CSS, as well as any product that CSS may produce in the future.
All transactions made with CSS are governed by Kansas law, without giving effect to its conflict of law provisions. Transactions involving, but not limited to, CSS's affiliates, agents, contractors, licensors, or any other third party currently conducting business with CSS, or those who have in the past, or will do so in the future, will be governed by its Terms and Conditions.
Your use of any CSS product may be subject to other laws. You expressly agree that exclusive jurisdiction for any claim or dispute with CSS or relating in any way to your use of any of the CSS products resides in the courts of Kansas. No CSS employee or agent has the authority to vary this Agreement. CSS may send notifications regarding the use of its website either by sending an email to the address provided by the user, or by posting directly on the CSS website. Notices shall become effective immediately.
CSS reserves the right to take steps CSS believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. You agree that CSS has the right, without liability to you, to disclose any Registration Data and/or Account information to law enforcement authorities, government officials, and/or third parties, as CSS believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. This includes but is not limited to CSS's right to cooperate with any legal process relating to your use of any CSS product, and/or a third-party claim that your use of any of the CSS products is unlawful and/or infringes such third-party rights.
CSS holds all rights to all past product developments and any future product development containing any and all aspects of the CSS logo and/or family of products. CSS’s rights shall encompass all products and services created by and/or for CSS and shall not be limited to products and services created during a certain timeframe, but shall encompass all such products, services, and any other endeavor created by or yet to be created by CSS since the inception of CSS and into perpetuity.

All intellectual property, such as trademarks, service marks, graphics, and logos associated with CSS, whether fully, partially, or otherwise implied, cannot be used by external parties without the express written consent of CSS.
Violations in any form of the proceeding goods and services (both existing and future) may result in civil and/or criminal liability. CSS can and will use the full extent of the law to prosecute those in violation of any aspect of the agreement contained herein. In so doing, offending parties may be subject to penalties as determined by all applicable laws governing any breach of this agreement and may include civil, criminal, and prosecution. CSS will pursue any such breach to the fullest extent permitted by law, including pursuing monetary compensation to the fullest extent of the law.
Utilizing this website shall constitute that the user has given both implied and express consent to the CSS Terms of Use contained herein. Any subsequent revisions and/or changes to CSS's Terms of Use will supersede the previous version and will become immediately enforceable. Adoption of any such changes shall be effective immediately upon reposting to the CSS website.
